Japanese bearing and precision technology manufacturers NSK Ltd. and NTN Corporation have announced the execution of a Memorandum of Understanding (MoU) to pursue a major business integration through the establishment of a joint holding company. The integration, planned through a joint share transfer structure, aims to strengthen the long-term global competitiveness of Japan’s bearing and precision equipment industries.
According to the companies, the move comes amid increasing pressure from global market slowdowns, intensified international competition, changing supply chains, and rising uncertainty linked to geopolitical and tariff-related developments. Both NSK and NTN stated that consolidation is necessary to secure sustainable growth, improve profitability, and maintain Japan’s position as a leading industrial manufacturing base.
The planned integration will combine the strengths of both companies across bearings, automotive systems, precision equipment, condition monitoring, and industrial motion technologies. Strategic priorities include optimizing production and procurement, expanding aftermarket and lifecycle management services, increasing investments in robotics and next-generation technologies, and strengthening global R&D and manufacturing capabilities.
Under the proposed structure, both companies will become wholly owned subsidiaries of a newly established joint holding company, which is expected to be listed on the Prime Market of the Tokyo Stock Exchange in October 2027, subject to shareholder and regulatory approvals.
The companies emphasised that the integration is intended not merely to expand scale, but to create a stronger and more resilient global business platform capable of delivering long-term value creation, technological innovation, and enhanced operational efficiency. Future synergy plans include strengthening sales networks, consolidating manufacturing operations, expanding high-value-added product segments, and developing new applications in robotics, healthcare, aerospace, and advanced mobility sectors.
NSK, founded in 1916, and NTN, founded in 1918, together represent two of Japan’s most historic and internationally recognised bearing manufacturers, employing nearly 50,000 people globally and generating combined annual revenues exceeding ¥1.7 trillion ($10,9 billion) .
